Terms governing access to and use of this website

These Terms of Service ("Terms") govern your access to and use of https://mindmotion.ai (the "Site"), operated by MindMotion, Inc., a Delaware corporation ("MindMotion," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction (whichever is greater), to use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization. If you do not meet these requirements, you may not access or use the Site.

Use of the site

The Site provides information about MindMotion, Inc. and its present and future activities. Content is informational, may change without notice, and does not constitute an offer, commitment, or professional advice except where expressly stated. You agree to use the Site in compliance with applicable law and these Terms.

Subject to these Terms, MindMotion grants you a limited, revocable, non-exclusive, non-transferable right to access and view the Site for lawful informational purposes.

Prohibited conduct. You agree not to: (i) access or use the Site by automated means, including scraping, crawling, data mining, or collecting content to train artificial intelligence or machine-learning systems, except as expressly permitted by our robots.txt or our prior written permission; (ii) attempt to probe, scan, or test the vulnerability of the Site or breach security or authentication measures; (iii) reverse engineer, decompile, or otherwise attempt to derive the source code of any software delivered through the Site; (iv) interfere with or disrupt the Site, its servers, or networks connected to it; (v) use the Site to transmit malicious code, viruses, or harmful content; (vi) impersonate any person or misrepresent your affiliation with any person or entity; or (vii) use the Site to violate any applicable law or third-party right.

Submissions and feedback

If you submit comments, suggestions, ideas, feedback, proposals, descriptions of problems, or other materials to MindMotion through the Site, by email, or by any other means (collectively, "Submissions"), you agree that Submissions are non-confidential. You should not submit confidential, proprietary, sensitive, regulated, or trade-secret information through the Site or contact form. You grant MindMotion a non-exclusive, worldwide, royalty-free license to use, reproduce, and modify Submissions in connection with evaluating, developing, improving, operating, marketing, and protecting MindMotion's business, products, services, and activities. You represent that you own or otherwise control all rights necessary to grant this license and that your Submission does not infringe or violate the rights of any third party. MindMotion is not obligated to review, use, return, or preserve any Submission, and MindMotion may independently develop ideas, technologies, products, services, or business activities that are similar to or compete with those described in any Submission.

Intellectual property

All content on the Site, including text, graphics, logos, marks, software, and design, is the property of MindMotion, Inc. or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content without our prior written permission, except as expressly permitted by applicable law. All names and logos used on the Site may be trademarks of MindMotion, Inc. or third parties; all rights are reserved. No rights are granted except as expressly stated in these Terms.

Third-party links and services

The Site may contain links to third-party websites or services, including scheduling tools. We do not control and are not responsible for the content, privacy practices, or terms of any third-party site or service. Your use of any third-party site or service is at your own risk and subject to that third party's terms.

Export controls and sanctions

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive US sanctions, and that you are not identified on any US government restricted-party list. You agree not to access or use the Site in violation of US export control or sanctions laws, including the Export Administration Regulations, the International Traffic in Arms Regulations, and regulations administered by the US Department of the Treasury's Office of Foreign Assets Control, or any similar applicable law.

Anti-bribery and anti-corruption

You will comply with all applicable anti-bribery and anti-corruption laws, including the US Foreign Corrupt Practices Act and the UK Bribery Act. You will not directly or indirectly offer, promise, give, or authorize the giving of anything of value to any government official or other person to obtain or retain business or any improper advantage in connection with your use of the Site. MindMotion is committed to compliance with the same laws in its own operations.

No professional relationship

Use of the Site, including submitting information through the contact form or scheduling a meeting, does not create a customer, advisory, consulting, fiduciary, attorney-client, or other professional relationship between you and MindMotion. No statement on the Site or in preliminary communications should be relied upon as professional, technical, safety, legal, financial, investment, insurance, or other advice for any particular situation.

Forward-looking statements

The Site contains statements regarding MindMotion's plans, intentions, expectations, and projections, including statements about products, services, and capabilities under development. These are forward-looking statements that involve known and unknown risks, uncertainties, and other factors which may cause actual results, performance, or achievements to differ materially from those expressed or implied. MindMotion undertakes no obligation to update any forward-looking statement to reflect events or circumstances occurring after the date of these Terms. You should not rely on forward-looking statements as predictions of future events.

No securities offering

Nothing on the Site constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation regarding any securities or investment opportunity. Any securities offering by MindMotion, if made, will be made only through formal offering documents and in compliance with applicable securities laws. You should not rely on any Site content as investment, financial, legal, tax, accounting, insurance, or other professional advice.

Disclaimer of warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MINDMOTION DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE MAKE NO REPRESENTATION THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT. Nothing in these Terms excludes or limits any warranty, right, or liability that cannot be excluded or limited under applicable law.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINDMOTION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING FROM YOUR ACCESS TO OR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MINDMOTION'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.

Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless MindMotion and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right. MindMotion reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with MindMotion's defense.

Termination

We may suspend, restrict, block, or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk for MindMotion or others, or used the Site unlawfully. Provisions of these Terms that by their nature should survive termination will survive, including Submissions and Feedback, Intellectual Property, No Professional Relationship, Forward-Looking Statements, No Securities Offering, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Venue, Limitation Period, Equitable Relief, Notices, and Miscellaneous.

Force majeure

MindMotion will not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, pandemic, cyber incidents, internet or telecommunications outages, or failures of third-party services or infrastructure.

Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction in those courts. Nothing in these Terms limits any rights you may have under laws that cannot be waived by contract.

Limitation period

Any claim or cause of action arising out of or relating to these Terms or your use of the Site must be commenced within one (1) year after the claim or cause of action accrues, or be permanently barred, except where applicable law prohibits such limitation.

Equitable relief

You acknowledge that a breach of these Terms relating to Intellectual Property, Submissions and Feedback, Use of the Site, Export Controls and Sanctions, or unauthorized automated access may cause MindMotion irreparable harm for which monetary damages would be inadequate. MindMotion may seek injunctive or other equitable relief for any such breach in any court of competent jurisdiction, without the requirement to post bond or other security and without limiting any other remedies available to it.

Notices

Informal notices to MindMotion may be sent through our contact form. Formal service of process on MindMotion, Inc. must be made as required by applicable law, including through the registered agent on file with the Delaware Division of Corporations where applicable.

Changes to these terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. Changes take effect when posted unless otherwise stated. Your continued use of the Site after the changes take effect constitutes acceptance. If you do not agree to a change, your sole remedy is to discontinue use of the Site.

Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MindMotion regarding the Site and supersede any prior agreements on the same subject. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms without restriction. These Terms do not create any third-party beneficiary rights. Headings are for convenience only and do not affect interpretation.
